1. Our approach
ERAM Real Estate Sh.P.K. is committed to full compliance with the tax laws and regulations of the Republic of Kosovo, to transparent dealings with the Tax Administration of Kosovo, and to a constructive, professional relationship with the authorities.
We do not engage in aggressive tax planning, artificial structures, or arrangements whose principal purpose is the avoidance of tax. The economic substance of every transaction is the basis on which it is reported.
2. Scope
This statement applies to ERAM Real Estate Sh.P.K., its project SPVs, and is observed in dealings between ERAM Real Estate and other members of the Kelmendi Holdings group. Each member of the group is independently responsible for its own tax compliance.
3. Principles
- Compliance — full and timely filing of all returns and payment of all taxes properly due in Kosovo and, where applicable, in any other relevant jurisdiction.
- Transparency — open and constructive engagement with the Tax Administration of Kosovo and any other competent authority.
- Substance — tax outcomes follow real economic activity; profit is reported where value is created.
- Arm's-length pricing — transactions between affiliated entities are priced at arm's length, documented, and benchmarked.
- No tax havens — ERAM does not use entities in jurisdictions characterised as tax havens or non-cooperative jurisdictions for any purpose related to tax avoidance.
- Use of incentives — properly available tax incentives, allowances and reliefs are used in line with their statutory purpose, with documented justification.
4. Investor-relevant disclosure
For investors in project SPVs, the principal tax considerations applicable to the SPV (corporate income tax, value added tax, property tax) are disclosed in each project's Information Memorandum. Investors are responsible for their own tax position in their country of residence and should obtain independent advice.
5. Governance
Responsibility for tax strategy rests with the chief financial officer and ultimately the board. Material tax matters and any tax dispute are escalated to the board. The annual statutory audit reviews tax provisions and disclosures.
6. Review
This statement is reviewed at least annually and updated for material changes in legislation or in ERAM's structure.
